"At Paul, Weiss you get a chance to shape the legal landscape. For example I recently worked on the IP side of a complex securitization for a major fast-food restaurant chain. The corporate structures that the finance lawyers were creating on this deal were innovative — we were setting up a large number of entities for the securitization that were related in intricate ways. This was an opportunity for me to be part of a team that was developing pioneering work.

Our client’s brand was one of the most significant aspects of their business. Throughout this transaction, I had to make sure the brand was protected while still permitting it to be used by all of the various entities that would be conducting business as part of the brand.  We had to carefully structure the IP rights for every business in the securitization, from the suppliers to the franchisor, and created separate entities to guard ownership of the brand. I was in a key position to see how the intellectual property concerns shaped — and were shaped by — the whole deal.

The whole experience was amazing — an object lesson in how to think about novel approaches to both the transaction as a whole, and my practice in particular.
